Terms applying to users invited into a Team, Institutional, or Enterprise subscription by a Team Admin.

Access comes through your organization

Team Admins invite, manage, and remove authorized users under the organization subscription.

Your credentials are your responsibility

Each authorized user is responsible for account activity, login security, and lawful use.

Research materials remain protected

User Materials are processed to provide the platform and remain subject to the privacy and security terms.

Introduction

Please read this agreement carefully. It contains important information regarding your legal rights, remedies, and obligations. If you do not agree to any part of this agreement, you may not use or access the Platform.

The Academe Platform is a research workspace that provides literature search, citation management, document reading and extraction, research-assisted drafting, systematic review tooling, and related features. These Terms of Service for Authorized Users (“Agreement”) set forth the terms for your access to and use of the Platform when you have been invited to use it by a Team Admin operating under an Enterprise Agreement with Academe, Inc.(“Academe”).

By consenting to this Agreement, establishing an account, or using the Platform, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under applicable law.

Definitions

  • Content. Model Outputs and User Materials, collectively.
  • Documentation. The documentation made available by Academe at academe-ai.com/docs.
  • Enterprise Customer. The institution, team, or individual that entered into a license agreement with Academe for multi-user access to the Platform and invited you to use it.
  • Output. Results generated by the Platform based on your input.
  • Platform. The Academe workspace and underlying technology and Documentation.
  • Team. The collection of users accessing the Platform under an Enterprise Customer's subscription.
  • Team Admin. The individual with administrative rights on the Platform who invited you and manages seats under the Enterprise Customer's agreement.
  • Third-Party Services. Third-party products or integrations reachable from the Platform.
  • User Login. The unique username and password provisioned to you.
  • User Materials. All data, documents, and materials you provide in connection with your use of the Platform.

Platform and Support

Academe will provide the Platform and reasonable email and online support. You are responsible for all use of the Platform through your credentials. Where the Platform links to Third-Party Services, Academe is not responsible for their functioning, results, or effects. You are responsible for complying with applicable third-party terms and licenses.

Fees and Payment

Access to the Platform is arranged through the Enterprise Customer. You will not be billed directly by Academe for seat access under this Agreement unless the Enterprise Customer specifies otherwise. If you separately upgrade to a paid add-on on your individual account, the fees for that add-on will be as presented at the time of purchase.

Term and Termination

This Agreement commences on the date you accept it and continues for the length of your access granted by the Team Admin. Either party may terminate on thirty (30) days' notice for material breach that remains uncured. Academe may suspend access immediately if you use the Platform in a manner that violates applicable law, infringes third-party rights, or materially breaches this Agreement.

Upon termination or expiration, all licenses granted to you hereunder terminate and your right to access the Platform ceases.

Confidential Information

Because you are accessing the Platform as an authorized user of an Enterprise Customer, you acknowledge you may have access to confidential or proprietary information of both Academe and the Enterprise Customer. Where the Enterprise Customer has entered into a separate agreement with Academe containing confidentiality provisions (the “Enterprise Agreement”), those provisions will apply to the extent applicable and not inconsistent with this Agreement. In the event of a conflict, the Enterprise Agreement controls.

Ownership, Security, and Privacy of Content

Ownership. As between you and Academe, and to the extent permitted by applicable law, Content is and shall remain your property. Ownership may also be subject to the Enterprise Agreement; in a conflict the Enterprise Agreement controls.

Your License to Academe.You grant Academe a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, distribute, and display User Materials solely to provide the Platform and related services, including processing User Materials through Academe's AI systems to generate Outputs.

Academe License to You. Subject to this Agreement, Academe grants you a limited, non-exclusive, non-transferable license to access and use the Platform during the Term for your internal, professional use.

Security. Academe will implement reasonable administrative, physical, and technical safeguards designed to protect User Materials against unauthorized access, use, disclosure, or destruction. No system is impenetrable.

Privacy.Academe's Privacy Policy is incorporated by reference. Your use of the Platform constitutes acceptance of the Privacy Policy.

User Responsibilities and Restrictions

You are responsible for:

  • Maintaining the confidentiality of your User Login credentials.
  • All activities that occur under your account.
  • Ensuring User Materials do not violate applicable laws or third-party rights.
  • Complying with applicable laws and regulations in connection with your use.

You may not:

  • Use the Platform for any unlawful purpose.
  • Attempt to gain unauthorized access to the Platform or related systems.
  • Interfere with or disrupt the Platform.
  • Transmit malicious code, viruses, or other harmful components.
  • Reverse engineer, decompile, or disassemble the Platform.
  • Remove or modify proprietary notices or labels.
  • Use the Platform in a manner that could damage, disable, overburden, or impair it.

Intellectual Property Rights

The Platform and related technology, software, and materials are owned by Academe or its licensors and are protected by intellectual property laws. Except as expressly granted, no rights in the Platform are granted to you.

You retain all rights in your User Materials. You represent that you have the necessary rights to grant the licenses set forth here and that your User Materials do not infringe third-party rights.

Disclaimers and Limitations of Liability

The Platform is provided “as is” and “as available” without warranties of any kind. Academe does not warrant that the Platform will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, in no event shall Academe be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or in connection with this Agreement or the use of the Platform.

Indemnification

You agree to indemnify and hold harmless Academe, Inc.and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of (a) your use of the Platform, (b) your User Materials, (c) your breach of this Agreement, or (d) your violation of any law or third-party right.

General Provisions

Assignment.You may not assign this Agreement without Academe's prior written consent. Academe may assign without your consent.

Severability. If any provision is unenforceable, the remaining provisions remain in effect.

Waiver. No waiver is effective unless in writing and signed by the party against whom it is sought to be enforced.

Force Majeure. Neither party is liable for delay or failure due to circumstances beyond reasonable control.

Survival. Provisions that by nature must survive (confidentiality, payment, indemnification, dispute resolution, relevant license grants) survive expiration or termination.

Governing Law and Dispute Resolution. Governed by the laws of the State of Delaware and the U.S. Federal Arbitration Act. Consumer disputes are subject to the binding arbitration and class-action waiver set out in our main Terms of Service, except that in a conflict with the Enterprise Agreement, the Enterprise Agreement governs.

Restricted Persons. Each party represents that neither it nor its affiliates are subject to U.S. or other applicable sanctions or trade control restrictions. In connection with this Agreement, each party shall comply with all applicable sanctions, export-control, and anti-corruption laws.

Entire Agreement. This Agreement, together with any Enterprise Agreement, constitutes the complete and entire statement of terms between Academe and you with respect to your use of the Platform as an authorized user.
